After talks with the club the 53-year-old says he does not want the job of replacing Steve Cotterill, who was sacked by the Championship club on Thursday.
McCarthy has been out of work since losing his job at Wolves in February.
Obviously he doesn't see a future at the club, with some outsiders suggesting he wouldn't have the total control he expected, under the Al-Hasawi family from Kuwait.
